Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of the software, websites, and services provided by Bagheera AI LLC (“Bagheera AI,” “we,” “us,” or “our”), a Florida limited liability company with its principal place of business at 215 W College Ave #601, Tallahassee, FL 32301. By accessing or using our services, you (“Customer”) agree to be bound by these Terms.

1. Who can use the service

The Bagheera AI platform is sold to and operated on behalf of dental practices located in the United States. The Customer represents and warrants that it is a duly licensed dental practice (or a parent group of one or more dental practices), and that the individuals who agree to these Terms on its behalf are authorized to do so.

The platform is not directed to consumers, patients, or the general public. Patients of Customer’s dental practice are not parties to these Terms; their relationship is with Customer as the healthcare provider.

2. The service

Bagheera AI provides the Treatment Chaser platform, a B2B SaaS that:

• Connects to Customer’s existing practice management system through a third-party integration.
• Identifies patients with open, unscheduled treatment plans who have provided written SMS consent.
• Sends personalized SMS follow-up messages on Customer’s behalf using a registered A2P 10DLC sender.
• Records inbound replies, opt-outs, and conversion outcomes.
• Provides Customer with reports and an audit log of all activity.

3. Customer responsibilities

Customer agrees to:

• Maintain HIPAA-compliant patient intake processes, including obtaining affirmative, written, prior express consent from each patient before that patient’s mobile number is added to the platform.
• Sign and abide by the Business Associate Agreement (BAA) provided by Bagheera AI prior to any patient data flowing through the platform.
• Provide accurate contact information for the practice, including a callback phone number that real staff will answer during business hours.
• Honor opt-out requests from patients across all of Customer’s communications, not just SMS sent through the platform.
• Comply with the federal Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, CTIA messaging guidelines, HIPAA, and all other applicable laws.

4. Acceptable use

Customer agrees not to:

• Use the platform to send marketing messages to anyone who has not provided affirmative, written, prior express consent.
• Use the platform to send messages outside the scope of the dental practice’s relationship with the recipient.
• Upload patient lists obtained from third parties, purchased lists, or lists for whom Customer cannot demonstrate consent.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Use the platform to send messages that are unlawful, harassing, fraudulent, or that contain malware.

Violation of this section may result in immediate suspension or termination of service.

5. Fees and payment

Fees are set forth in the order form or pricing schedule executed between Bagheera AI and Customer. Unless otherwise agreed in writing, fees are billed monthly in advance and are non-refundable. Late payments may result in suspension of service after 30 days’ written notice.

6. Confidentiality and data protection

Each party agrees to protect the other party’s confidential information with the same degree of care it uses to protect its own confidential information, and in any case no less than a reasonable degree of care. Bagheera AI’s handling of Protected Health Information (PHI) is governed by the BAA executed between the parties, which controls in the event of any conflict with these Terms.

7. Intellectual property

Bagheera AI retains all right, title, and interest in and to the platform, including all software, designs, documentation, and improvements thereto. Customer retains all right, title, and interest in and to its own data, including patient information. Customer grants Bagheera AI a limited, non-exclusive license to process Customer’s data solely as needed to provide the service.

8. Warranties and disclaimers

Bagheera AI warrants that it will provide the service in a professional and workmanlike manner, in accordance with applicable laws and the BAA. EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE. Bagheera AI’s aggregate liability arising out of or related to these Terms shall not exceed the fees paid by Customer to Bagheera AI in the twelve (12) months preceding the event giving rise to the claim. This section does not limit either party’s liability for breaches of the BAA or for gross negligence or willful misconduct.

10. Indemnification

Customer shall indemnify and hold harmless Bagheera AI from and against any third-party claims, damages, and expenses arising out of Customer’s breach of these Terms, Customer’s violation of applicable law, or Customer’s failure to obtain proper SMS consent from its patients.

11. Term and termination

These Terms remain in effect for as long as Customer uses the service. Either party may terminate for material breach with thirty (30) days’ written notice and an opportunity to cure. Upon termination, Bagheera AI will return or destroy Customer’s data in accordance with the BAA.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Leon County, Florida, and the parties consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to Customer in advance via email and will become effective upon the date stated in that notice. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
